Job Description
The ideal candidate will possess strong leadership skills and must have a proven ability to drive operational excellence. A competitive remuneration package will be offered in line with the salary structure of the Bank.
JOB ROLE
The candidate is required to oversee the corporate governance practices, provide expert guidance on corporate compliance and governance, legal matters including effective litigations, legal interpretation especially in respect of terms, legal or contractual documents.
- Develop thoughtful and impactful Legal Strategy and subsequent annual plans in accordance with the Bank’s Business Plan/Strategy.
- Utilize a logical mindset to make well-informed decisions, balancing legal considerations with practical business needs.
- With business acumen to smartly and proactively provide legal guidance, mitigate risks, ensure compliance, and drive business growth.
- Providing leadership in ensuring accurate and timeliness in drafting, review and monitoring of the Banks’ contracts, agreements and other legal documents (e.g. tenancy agreement).
- Select and recommend the appointment of external solicitors for the Bank in accordance with procurement guideline/policy and legal procedures, subject to the approval of the CEO on the exceptions needed.
- Manage governing Board processes for the bank by providing secretariat services (coordinating, arranging and attending AGM, EGM, Board of Directors and Committee meetings, managing agendas and action points, taking minutes) if and when required.
- Maintaining statutory records, including the company’s register of members, directors, and shareholders and acting as a liaison between the company and its shareholders, ensuring their rights are protected.
Monitor regulatory compliance areas and relate activities on a continuing basis, taking appropriate steps to improve its effectiveness.To ensure robust compliance with banking regulations and corporate governance standards while providing expert legal counsel to the Board of Directors and Management to facilitate strategic decision-making.
MINIMUM REQUIREMENTS
- University Law Degree or preferred Master’s degree in Law or Postgraduate.
- Active registered Advocate of High Court.Proven experience and ability to read, analyse and interpret statutes and governing laws of United Republic of Tanzania and Bank of Tanzania Regulations, trade journals, legal documents.
- At least 5 years’ experience in a Senior role in Legal, of which at least 3 years as Head of Legal and Company Secretary in the financial sector, preferably banking.
- Excellent knowledge of the legal system, especially banking, company, commercial, contractual and civil laws, including experience in coordinating Board of Directors meetings and business registrations.
- Company Secretary Certifications is added advantage.Trained on Leadership and Practicing with Banking experience are an added advantage.
